Who we are \u2014 parties and identity<\/h2>\n<p>These Terms and Conditions (the &#8220;<strong>Terms<\/strong>&#8220;) govern every order placed through the website <strong>totaliweb.com<\/strong> (the &#8220;<strong>Site<\/strong>&#8220;) and every service supplied by:<\/p>\n<ul>\n<li><strong>Antonio Maraucci<\/strong>, operating under the trade name <strong>Totaliweb<\/strong><\/li>\n<li>Registered address: Via Matera Pasquale 14, 80026 Casoria (NA), Italy<\/li>\n<li>VAT number (Partita IVA): 09286091211<\/li>\n<li>Email: info@totaliweb.com<\/li>\n<\/ul>\n<p>(hereinafter &#8220;<strong>Totaliweb<\/strong>&#8220;, &#8220;we&#8221;, &#8220;us&#8221;). By placing an order, requesting a booking or accepting a quote you (the &#8220;<strong>Client<\/strong>&#8220;) enter into a binding contract with Totaliweb governed by these Terms.<\/p>\n<h2>2. Definitions<\/h2>\n<ul>\n<li><strong>Consumer<\/strong>: a natural person acting for purposes outside their trade, business, craft or profession (art. 3 of Italian Legislative Decree 206\/2005, the &#8220;Consumer Code&#8221;).<\/li>\n<li><strong>Business Client<\/strong>: any Client purchasing with a VAT number (P.IVA) or otherwise acting in the course of a trade, business or profession.<\/li>\n<li><strong>Services<\/strong>: the digital services described on the Site (audits, performance optimisation, security checks, automation, AI chatbots and agents, custom development and related work).<\/li>\n<li><strong>Deliverables<\/strong>: the reports, code, configurations, workflows and other work products supplied as part of a Service.<\/li>\n<li><strong>Order<\/strong>: any purchase, booking or accepted quote for a Service.<\/li>\n<\/ul>\n<h2>3. Services catalogue<\/h2>\n<p>The Site offers three categories of Services. The description, price and scope shown on each service page at the time of the Order form an integral part of the contract.<\/p>\n<h3>3.1 Fixed-scope services<\/h3>\n<p>Services with a defined scope and a published price can be purchased directly on the Site with payment by card through <strong>Stripe<\/strong>. The scope is limited to what is expressly listed in the service description; anything not listed is excluded and may be quoted separately.<\/p>\n<h3>3.2 AI Chatbot<\/h3>\n<p>The AI Chatbot service is <strong>bookable with payment by bank transfer only<\/strong>. The published price covers the configuration described on the service page for one single website. Please note:<\/p>\n<ul>\n<li>Extra features, integrations and <strong>multilingual support are quoted separately<\/strong> and, depending on your requirements, <strong>additional costs may apply<\/strong>;<\/li>\n<li>The chatbot is first built, trained and made available for <strong>testing on our servers<\/strong>; installation on the Client&#8217;s website takes place <strong>only after the Client&#8217;s confirmation<\/strong> of the test version.<\/li>\n<\/ul>\n<h3>3.3 Custom services (quote only)<\/h3>\n<p>AI agents, n8n automation setups, custom development and any bespoke work are available <strong>exclusively through a custom quote<\/strong>. The signed or expressly accepted quote defines the scope, price and payment schedule and prevails over the general descriptions on the Site.<\/p>\n<h2>4. Order process and payment<\/h2>\n<ul>\n<li><strong>Stripe (card payments)<\/strong>: fixed-scope services are paid at checkout. The contract is concluded, and execution is scheduled, once the payment is successfully authorised.<\/li>\n<li><strong>Bank transfer<\/strong>: for the AI Chatbot and quoted services, the confirmation email contains our bank details and a <strong>mandatory payment reference<\/strong> that must be included in the transfer. An incorrect or missing reference may delay the identification of your payment and therefore the start of the work.<\/li>\n<li><strong>Execution starts only after funds are received.<\/strong> For bank transfers, no work is scheduled or started until the amount has actually been credited to our account. Order dates and estimated timelines run from the date of receipt of funds, not from the date of the Order.<\/li>\n<li>All prices are expressed in euro (EUR). VAT and any other applicable taxes are applied according to the Italian tax regime in force at the time of the Order.<\/li>\n<\/ul>\n<h2>5. Delivery terms<\/h2>\n<p>Delivery timeframes indicated on the Site or in quotes are <strong>indicative and not of the essence<\/strong> (termine non essenziale). They depend on the complexity of the work and on the Client&#8217;s timely cooperation (see section 6). A delay does not in itself entitle the Client to terminate the contract or claim damages; if a delivery is substantially exceeded, the Client may send a written notice granting a reasonable additional term of no less than 15 business days.<\/p>\n<h2>6. Client obligations<\/h2>\n<p>The Client undertakes to:<\/p>\n<ul>\n<li>provide, promptly and free of charge, the <strong>access credentials<\/strong> (hosting, CMS, DNS, third-party accounts) and the <strong>materials<\/strong> (texts, logos, documents, data) needed to perform the Service;<\/li>\n<li>provide <strong>timely feedback<\/strong> on drafts, test versions and requests for confirmation \u2014 normally within 5 business days; delays caused by missing feedback extend the delivery terms accordingly;<\/li>\n<li>guarantee that all materials supplied are lawful and do not infringe third-party rights, indemnifying Totaliweb against any related claim;<\/li>\n<li>keep adequate backups of its own systems and data, unless a backup activity is expressly part of the purchased Service.<\/li>\n<\/ul>\n<h2>7. Right of withdrawal<\/h2>\n<h3>7.1 Consumers<\/h3>\n<p>Consumers normally have a 14-day withdrawal period under art. 52 of the Consumer Code. However, by placing an Order for a Service to be performed before the end of that period, the Consumer:<\/p>\n<ul>\n<li><strong>expressly requests<\/strong> that Totaliweb begins performance of the Service before the expiry of the 14-day withdrawal period; and<\/li>\n<li><strong>acknowledges that the right of withdrawal is lost once the Service has been fully performed<\/strong>, pursuant to art. 59(1)(a) and, for digital content supplied otherwise than on a tangible medium, art. 59(1)(o) of Legislative Decree 206\/2005.<\/li>\n<\/ul>\n<p>If the Consumer withdraws after performance has begun but before the Service has been fully performed, the Consumer shall pay Totaliweb an amount <strong>proportional to the work performed<\/strong> up to the moment of withdrawal, calculated against the total agreed price. Withdrawal requests must be sent to info@totaliweb.com.<\/p>\n<h3>7.2 Business Clients<\/h3>\n<p>The right of withdrawal is reserved to Consumers only. <strong>Business Clients (purchases made with a VAT number) have no right of withdrawal<\/strong>: their Orders are binding upon confirmation.<\/p>\n<h2>8. Acceptance records, chargebacks and fraud prevention<\/h2>\n<p>When you place an Order or accept these Terms, we record <strong>acceptance evidence<\/strong> including your IP address, timestamp, browser user agent, device fingerprint and the checkbox acceptance logs associated with your session. These records are retained for the entire statutory limitation period and <strong>will be submitted as evidence<\/strong> to payment providers, card issuers, banks and judicial authorities in the event of a payment dispute or chargeback.<\/p>\n<p>Opening an <strong>unjustified chargeback<\/strong> or payment dispute for a Service that was ordered and performed in accordance with these Terms constitutes a breach of contract. In that case Totaliweb reserves the right to suspend ongoing Services, revoke licences on the Deliverables until payment is restored, and recover the disputed amounts together with <strong>chargeback fees, collection costs and reasonable legal expenses<\/strong>. Suspected payment fraud will be reported to the competent authorities.<\/p>\n<h2>9. Intellectual property<\/h2>\n<ul>\n<li>Ownership of the Deliverables produced specifically for the Client is <strong>transferred to the Client upon full payment<\/strong> of the agreed price. Until then, all rights remain with Totaliweb.<\/li>\n<li><strong>Pre-existing materials remain ours<\/strong>: tools, frameworks, libraries, snippets, workflow templates and know-how developed by Totaliweb before or independently of the engagement remain the exclusive property of Totaliweb; the Client receives a non-exclusive, non-transferable licence to use them as embedded in the Deliverables.<\/li>\n<li>Third-party and open-source components are governed by their own licences.<\/li>\n<li><strong>Portfolio right<\/strong>: Totaliweb may identify the Client and showcase the work performed (screenshots, descriptions, aggregate results) in its portfolio and marketing materials, unless the parties agree otherwise in writing.<\/li>\n<\/ul>\n<h2>10. Warranties and disclaimers<\/h2>\n<p>Services are provided with professional diligence and to <strong>workmanlike standards<\/strong> (a regola d&#8217;arte) in accordance with art. 1176, paragraph 2, of the Italian Civil Code. However, Totaliweb <strong>does not guarantee any specific business result<\/strong>, including search-engine rankings, traffic volumes, conversion rates, revenue or other performance indicators, which depend on factors outside our control (search-engine algorithms, market conditions, third-party platforms, the Client&#8217;s own content and conduct).<\/p>\n<h2>11. Limitation of liability<\/h2>\n<p>To the maximum extent permitted by law, Totaliweb&#8217;s total aggregate liability arising out of or in connection with a Service is <strong>capped at the amount actually paid by the Client for that Service<\/strong>. Totaliweb shall not be liable for indirect or consequential damages, loss of profits, loss of business, loss of data or reputational harm. Nothing in these Terms excludes or limits liability for wilful misconduct or gross negligence (art. 1229 of the Italian Civil Code) or any other liability that cannot be limited under mandatory law.<\/p>\n<h2>12. Third-party services<\/h2>\n<p>The performance of the Services may rely on third-party providers, including <strong>Stripe<\/strong> (payments), hosting and infrastructure providers, and <strong>AI providers<\/strong> (such as Anthropic or OpenAI) for AI-powered features. These providers operate under their own terms and service levels: Totaliweb is not responsible for their outages, pricing changes, API modifications or discontinuations, and will use reasonable efforts to propose alternatives where a third-party change materially affects a Service.<\/p>\n<h2>13. Support and warranty period<\/h2>\n<p>Each service description states the support and\/or bug-fix warranty period included with the Service, where applicable. The warranty covers defects attributable to our work and does not cover malfunctions caused by third-party updates or changes, modifications made by the Client or by third parties, hosting issues, or misuse of the Deliverables. Support beyond the included period can be quoted separately.<\/p>\n<h2>14. Force majeure<\/h2>\n<p>Neither party shall be liable for delays or failures caused by events beyond its reasonable control, including natural disasters, wars, strikes, power or network outages, acts of authorities, epidemics and widespread failures of third-party infrastructures. Obligations are suspended for the duration of the event; if it persists for more than 60 days, either party may terminate the affected Order, with payment due for the work already performed.<\/p>\n<h2>15. Privacy<\/h2>\n<p>Personal data are processed in accordance with our <a href=\"\/privacy-policy\/\">Privacy Policy<\/a>, which forms an integral part of the contractual information provided to the Client.<\/p>\n<h2>16. Governing law and jurisdiction<\/h2>\n<p>These Terms and every Order are governed by <strong>Italian law<\/strong>. For disputes with Consumers, the competent court is the court of the <strong>Consumer&#8217;s place of residence or domicile<\/strong>, if located in Italy. For disputes with Business Clients, the <strong>Court of Naples<\/strong> shall have exclusive jurisdiction.<\/p>\n<h2>17. Modifications to these Terms<\/h2>\n<p>Totaliweb may update these Terms from time to time, with notice published on the Site. The version in force at the time of the Order applies to that Order. Material changes affecting ongoing subscriptions or recurring services will be notified with reasonable advance notice; continued use of the Services after the effective date constitutes acceptance.<\/p>\n<h2>18. Severability<\/h2>\n<p>If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force, and the invalid provision shall be replaced by a valid one that most closely reflects its original purpose.<\/p>\n<h2>19.
